Commercial and Paid Content Policy

We endeavor to foster an environment where users can share their Content and discuss their on chain actions in a transparent and verifiable manner. As part of this, we require certain disclosures and prohibit certain Content under this Commercial and Paid Content Policy (“Policy”) (in addition to the restrictions and prohibitions under the Terms). In particular, we require disclosure, prohibit, and restrict certain types of “Paid Content” or Content where the user has some ”Personal Interest” (as defined below) in the subject of the Content.

This Policy is part of the Terms and any failure to abide by the rules and prohibitions of this Policy constitutes a violation under the Terms and will result in the suspension or termination of your account. These rules, restrictions, and prohibitions supplement the Terms and do not limit the Terms. In the event of any ambiguity or conflict between this Policy and the Terms, the most user and Content restrictive terms apply. Any capitalized terms not otherwise defined have the same meaning as in the Terms.

Paid Content” is Content that features or endorses Digital Assets, products, services, or opportunities where (a) the user receives the Digital Asset, product, service, or opportunity as a gift, (b) the user receives compensation from a third-party for promoting these Digital Assets, products, services or opportunities, either through monetary payments or in-kind contributions (such as receiving Digital Assets), (c) the Digital Asset, products, services or opportunities generate a commission for the user posting the Content from sales (for example, through affiliated links or discount codes), or (d) the user has a commercial agreement involving these Digital Assets, products or services, such as a role as a brand ambassador. To be clear, User Content may be Paid Content whether it is compensated directly or indirectly from any party, including individuals, companies (or other entities), brands, decentralized autonomous organizations (each, a “DAO”) or other associations.

Personal Interest” is where a user has some intention to use the Content for commercial purposes or gains, or an interest (directly or indirectly) in the subject of Content, including an interest by virtue of ownership of a company that issues a Digital Asset which is discussed in the User Content or similar interest.

Below, we describe various rules, restrictions and prohibitions on Paid Content and Content where the user has a Personal Interest. At times, we provide examples of these restrictions and prohibitions. These examples are not comprehensive lists nor limit the scope of the prohibitions of restrictions that may apply to Content under this Policy, the Terms or applicable law. Whenever we use the word “including” or similar, this means “including, but not limited to.”

As always, users must also comply with all Applicable Law, including by ensuring that you provide all necessary disclosures are made to users, such as any disclosures needed to indicate the commercial nature of the Paid Content, or payment received in connection with posting the Content. For Paid Content in particular, the user must comply with any Applicable Law pertaining to advertising or investment and, if applicable, FTC regulations such as the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising. Please note, you should not assume that compliance with this Policy will ensure compliance all laws applicable to you; it is your responsibility to ensure your own compliance. If you are unsure whether an action would violate Applicable Law or how Applicable Law applies, you should consult an attorney before taking that action.

I. Restrictions & Prohibitions: Restrictions on Paid Content

All Paid Content must comply with the following rules and restrictions:

  • The Content must comply with this Policy and the rest of the Terms & Community Guidelines. Please review the limitations on types of Content which users cannot promote (whether the user is paid to do so or not). The user is responsible for ensuring that any Paid Content complies with all Applicable Law.
  • The Content must feature the #PaidContent tag. Paid Content may only be posted with the with the “#PaidContent tag”, which states that the Content features a proprietary or third-party Digital Asset, product, brand, business partner, or Digital Asset (“Commercial Partner”). Failure to include an appropriate disclosure, in a clear and prominent way, is a breach of the Guidelines (and the Terms) could result in legal action and being suspended from Share.  You must ensure that the Digital Asset, product, service or call-to-action are clearly promoted without requiring users to click on any additional links.
  • Authorized Promotion. Users cannot post Paid Content that features persons other than themselves, or the work of others, without those persons’ permission.
  • Endorsement by Share. Under no circumstances may any user state or imply that we, our personnel or investors, or any affiliate (or their personnel or investors) in any way endorses the user, their Paid Content (or any other User Content), nor that we endorse any purchase or sale of a Digital Asset, whether or not the user has paid us for advertising or other services.
  • If a user also has Personal Interest in the subject of the Content, the user must also comply with part (II) below. Please read below carefully.

II. Restrictions & Prohibitions: Personal Interest Content

For Content that features a Digital Asset, product, service, or opportunity where the user has Personal Interest, the following rules, restrictions, or prohibitions apply:

  • If the Content also qualifies as Paid Content, the rules, restrictions and prohibitions above in part (I) still apply and, if the Content qualifies as Paid Prohibited Content under part (III), it is prohibited regardless of anything else.
  • Users must disclose their Personal Interest when posting User Content regarding Digital Assets, products, services, or opportunities where the user has a Personal Interest. For examples:
    1. If a user is promoting a Digital Asset that they own, they need to link the wallet that contains the Digital Asset (or otherwise communicate this fact).
    2. If a user is an employee of a company that has issued a proprietary Digital Asset (or has some other Personal Interest in the company), the user must disclose this information, either in the Content or through their Account.
    3. If a user is a member of a DAO) and posts about a DAO vote, they need to disclose their holdings of the governance token by linking the wallet that holds the token (or other means that makes this information clear to other users).
  • Posting false or misleading Content about Digital Assets, products, services, or opportunities where the user has a Personal Interest, or stating or implying the user has a Personal Interest where the user does not, is prohibited. Although false or misleading Content are generally prohibited under the Terms, please review this list of specific examples of prohibited Content in the context of a user who has a Personal Interest in the subject of the Content:
    1. A user cannot make false or misleading statements about owning (or not owning) Digital Assets or other onchain actions, such User Content which states or implies the user does not own a particular Digital Asset, but in fact the user does own it in a wallet that is not linked to the user’s Account.
    2. A user cannot imply control over a DAO or the ability to dictate its policies when this is not actually the case.
    3. A user cannot post Content that is intended to cause the price of a Digital Asset to change for the user’s gain, such as by participating in a “pump-and-dump” scheme whereby the user “pumps up” the price of a Digital Asset that the user owns by promoting that Digital Asset in order to “dump” the Digital Asset for a profit once the price has increased.

III. Prohibited Paid and Commercial Content

Certain Digital Assets, goods, services, and opportunities cannot be promoted as Paid Content or Content for which the user has Personal Interest, under any circumstances. These include:

  • Illegal products, services, content or opportunities or Digital Assets, products, services, content or opportunities which are illegal to promote or sell
  • Financial, insurance, and investment products, services. or opportunities (including securities, debt products, investment services, initial coin/token offerings, binary options, contracts for difference and other derivatives, loans and other debt products, paycheck advances, bail bonds, ‘buy now pay later’ services, or any other financial-related content, including financial, insurance or investment products, services or opportunities with respect to Digital Assets)
  • Gambling products and services (including lotteries, social casinos, sports betting or other gambling related content)
  • Multilevel marketing
  • Weapons, ammunition, and explosives
  • Alcoholic beverages and related accessories
  • Drugs and drug-related products, including illegal or recreational drugs, paraphernalia and CBD supplements as well as pharmaceutical and medicine-related products or services (such as medical institutions, over-the-counter medicines or prescription drugs)
  • Tobacco or nicotine products, vaporizers, electronic cigarettes or any other products that simulate smoking
  • Health and wellness supplements, including muscle enhancement or weight loss substances and supplements
  • Adult and sexual products and services (including contraceptives, adult merchandise, entertainment-related, or content that is adult in nature)
  • Dating & marriage Services
  • Geo-political, political, social issues or crises
  • Other violations of the Terms

Format Restrictions

Your branded content must comply with the following restrictions:

  1. Paid Content cannot include banner ads.
